Impression Source Developer Kit License Agreement
Version 2026-10. Copyright (c) 2026 Logicdriven LLC. All rights reserved.
IMPORTANT: READ THIS AGREEMENT BEFORE DOWNLOADING OR USING A DEVELOPER KIT. BY DOWNLOADING, COPYING, OR USING A DEVELOPER KIT, YOU ACCEPT THIS AGREEMENT ON BEHALF OF THE ORGANIZATION NAMED IN YOUR ORDER. IF YOU DO NOT HAVE AUTHORITY TO BIND THAT ORGANIZATION, OR DO NOT ACCEPT THIS AGREEMENT, DO NOT DOWNLOAD OR USE THE DEVELOPER KIT.
1. Definitions
"Logicdriven" means Logicdriven LLC, Seminole County, Florida, United States.
"Licensee" or "you" means the single legal organization named in the order.
"Order" means the purchase record, invoice, or written quote accepted by Logicdriven that identifies the Licensee, the Developer Kit or Kits purchased, and the fee.
"Developer Kit" means each of the following that is identified in the Order: (a) the Impression HTML5/JavaScript Developer Kit and (b) the Impression C#/Unity Developer Kit, in each case including the source code, compiled files, build tools, documentation, samples, and any updates Logicdriven provides under Section 8.
"Kit Source" means the human-readable source code in a Developer Kit, including unminified JavaScript and C# source files.
"Derived Runtime" means a courseware engine, simulation, or component that you build from, or that incorporates, any part of a Developer Kit, with or without modification.
"Runtime Form" means a Derived Runtime in the built form needed to run it: minified or bundled JavaScript, compiled assemblies, and WebGL or other build output, together with the files that Logicdriven's standard Impression runtime already supplies in readable form (configuration files, customization hooks, viewer templates, style sheets, and the minified Base Class Framework).
"Courseware" means training or educational content created with properly licensed Impression software and delivered with a Derived Runtime.
"Individual Contractor" means a natural person who performs services for you under your direction and solely on your behalf, whether engaged directly, through a staffing agency, or through a business entity that the person owns and in which only that person accesses Kit Source.
"Authorized Users" means your employees and your Individual Contractors, in each case bound by written obligations at least as protective of Logicdriven's rights as this Agreement.
Any other organization is not an Authorized User and may not access Kit Source, even when it works with you on the same project, unless it holds its own license to the Developer Kit. This includes subcontractors, prime contractors, teaming partners, customers, affiliates, and their employees.
2. License Grant
Subject to payment of the fee in the Order and to this Agreement, Logicdriven grants you a perpetual, nonexclusive, nontransferable (except under Section 13) license, for each Developer Kit identified in the Order, to:
(a) install, use, and copy the Developer Kit for your internal development use by an unlimited number of Authorized Users;
(b) modify the Kit Source and create Derived Runtimes;
(c) use Derived Runtimes to create, test, deliver, and support Courseware; and
(d) reproduce and distribute Derived Runtimes in Runtime Form only, as part of Courseware, to learners, learning management systems and their hosts, and the customers for whom you produce that Courseware.
The Developer Kit is licensed, not sold. Logicdriven reserves all rights not expressly granted.
Fees are non-refundable once a Developer Kit has been made available to you for download, except where applicable law requires a refund.
3. Your Customers And Learners
Recipients of Courseware under Section 2(d) may install, host, run, and use the Derived Runtime in Runtime Form solely to deliver and maintain that Courseware. You must not grant recipients broader rights than this, and you must not provide them with Kit Source, except as Logicdriven agrees in writing.
4. Ownership
Logicdriven and its licensors retain all right, title, and interest in the Developer Kits, the Impression software, and all related intellectual property, including all portions of a Developer Kit contained in a Derived Runtime.
Subject to Logicdriven's rights in the underlying Developer Kit, you own the modifications and additions you create. Logicdriven acquires no ownership of them under this Agreement. For the Developer Kits, this Section 4 controls over any provision of another Logicdriven agreement that assigns your modifications or derivative works to Logicdriven.
If you voluntarily provide suggestions or feedback, you grant Logicdriven a perpetual, irrevocable, worldwide, royalty-free, nonexclusive license to use and incorporate that feedback without obligation to you.
5. Restrictions
You must not, and must not permit others to:
(a) distribute, publish, sell, sublicense, rent, lease, or disclose Kit Source, or any Developer Kit, to anyone other than Authorized Users;
(b) distribute a Derived Runtime except in Runtime Form under Section 2(d);
(c) use a Developer Kit or Derived Runtime to create, or to assist in creating, a courseware authoring tool, or a product that substantially duplicates the functionality of Impression Scribe;
(d) offer a Derived Runtime, or a Developer Kit, as a standalone product, a software development kit, or a runtime licensed for use with content not created with properly licensed Impression software;
(e) use a Developer Kit to bypass licensing, security, or access controls in Impression software;
(f) remove or alter copyright, license, or proprietary notices; or
(g) represent that Logicdriven endorses, certifies, or supports a Derived Runtime unless Logicdriven has agreed in writing.
6. Confidentiality
Kit Source is Logicdriven's confidential information and trade secret. You must protect it using at least the care you use for your own confidential source code, and no less than reasonable care, and disclose it only to Authorized Users who need it. You are responsible for your Authorized Users' compliance with this Agreement. These obligations do not apply to information that is publicly available through no fault of yours, that you developed independently without use of Kit Source, or that Logicdriven approves in writing for release.
7. Sample Content
Sample lessons, media, simulations, and other sample content in a Developer Kit are provided to help you learn and test the Developer Kit. You may use, modify, and distribute sample content, including as part of Courseware. Sample content is provided under Section 10, and Logicdriven makes no representation that it is free of third-party rights.
8. Updates And Support
Your fee includes the Developer Kit version identified in the Order and any updates to that major version that Logicdriven makes generally available to Developer Kit licensees. Logicdriven is not obligated to release updates, new major versions, or compatibility with future versions of Impression software. Unless covered by a separate written support agreement, Logicdriven has no obligation to provide support. You are responsible for testing, maintaining, and supporting your Derived Runtimes and Courseware.
9. Third-Party Software
Third-party components included in a Developer Kit are governed by their own license terms, identified in the Developer Kit's THIRD-PARTY-NOTICES file. Those terms control for those components in the event of a conflict, and nothing in this Agreement limits rights those terms grant.
10. Disclaimer Of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH DEVELOPER KIT IS PROVIDED "AS IS," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LOGICDRIVEN DOES NOT WARRANT THAT A DEVELOPER KIT OR ANY DERIVED RUNTIME WILL BE ERROR-FREE, SECURE, OR COMPATIBLE WITH EVERY SYSTEM, BROWSER, OR LEARNING MANAGEMENT SYSTEM.
11. Limitation Of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOGICDRIVEN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, REVENUE, OR BUSINESS, ARISING FROM A DEVELOPER KIT, A DERIVED RUNTIME, OR THIS AGREEMENT. LOGICDRIVEN'S TOTAL LIABILITY ARISING FROM THE DEVELOPER KITS OR THIS AGREEMENT WILL NOT EXCEED THE FEES YOU PAID LOGICDRIVEN FOR THE DEVELOPER KITS UNDER THE ORDER.
12. Termination
Logicdriven may terminate this Agreement if you materially breach it and do not cure the breach within thirty (30) days after written notice describing it. A breach of Section 5(a) or Section 6 may not be capable of cure, in which case Logicdriven may terminate on written notice.
Upon termination, you must stop using and distributing the Developer Kits and Derived Runtimes and destroy all copies of Kit Source in your control. Courseware that you distributed in compliance with this Agreement before termination may continue to be used by its recipients under Section 3.
Sections 4, 5, 6, 10, 11, 12, and 14 survive termination.
13. Transfer
You may not assign or transfer this Agreement or a Developer Kit without Logicdriven's prior written consent, except to a successor to all or substantially all of your business or assets to which this Agreement relates, provided that you give Logicdriven written notice and the successor agrees in writing to this Agreement.
14. General
(a) Government use. Each Developer Kit is commercial computer software and commercial computer software documentation. Government use is subject to this Agreement's commercial license terms.
(b) Export. You must comply with applicable export-control and sanctions laws.
(c) Governing law. This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law rules.
(d) Entire agreement. This Agreement and the Order are the complete agreement concerning the Developer Kits. For the Developer Kits, this Agreement controls over a conflicting provision of another Logicdriven license. It may be changed only by a written agreement signed by Logicdriven. A waiver must be in writing.
(e) Severability. If a provision is unenforceable, it will be modified only to the extent necessary, and the remaining provisions continue in effect.
